If payment is not received by the due date, we reserve the right to suspend or terminate services until payment is made. Late payments may incur interest at the rate of 1.5% per month or the maximum allowed by law.

You may not reproduce, distribute, or create derivative works without our express written permission.
9. Deliverables Ownership
Upon full payment, you own the final deliverables created specifically for you (such as standard operating procedures). However, we retain ownership of any pre‑existing templates, methodologies, and tools used to create those deliverables.
10. Confidentiality
Both parties agree to keep confidential any non‑public information disclosed during the business relationship. This obligation survives termination of these terms and applies to trade secrets, business strategies, and client data.
11. Prohibited Conduct
You agree not to: (a) use our services to transmit any harmful code; (b) interfere with or disrupt the integrity of our systems; (c) attempt to gain unauthorized access to any accounts or data; (d) harass or impersonate any person; (e) violate any applicable laws.
12. Third‑Party Services
We may integrate with third‑party tools or services to facilitate our work. We do not control those third parties and are not responsible for their acts or omissions. Your use of any third‑party service is subject to their own terms and policies.
13. Disclaimer of Warranties

You may terminate your account or request cancellation of services at any time by contacting us. Fees paid prior to termination are non‑refundable except as provided in our Refund Policy.
17. Termination by Us
We may terminate or suspend your access immediately, without prior notice, for any reason, including if you breach these terms or engage in conduct that we believe is harmful to other users or our business.
18. Effect of Termination
Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive termination, including intellectual property, confidentiality, and limitation of liability, shall survive.
19. Governing Law
These Terms of Service shall be governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any legal action arising out of these terms shall be brought exclusively in the state or federal courts located in Pueblo County, Colorado.
20. Dispute Resolution
Before filing any legal claim, you agree to first attempt to resolve the dispute informally by contacting us. If the dispute cannot be resolved within 30 days, either party may pursue arbitration or litigation as provided herein.
